By clicking on the “I ACCEPT” button on this electronic contract, you are consenting to be bound by this User Agreement. Please ensure that you read and understand all the provisions of this document before you start using the website, as you shall be bound by all the terms and conditions herein upon clicking on the “ACCEPT & CONTINUE” button on this electronic contract. If you do not agree or accept any of the Terms and Conditions contained herein, then please do not use Digital Samrat’s website or avail any of the services being provided therein.

Failure to do so within 24 (Twenty-Four) hours from the time of receipt of this document and your acceptance of this document by clicking “I ACCEPT” button shall be considered as your understanding of this document.
1. Agreement to Terms
1.4. The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. User Representations

3. Offered Courses & Programs
3.1. The Digital Samrat offers the following courses and programs through its site:
3.1.1. Online recorded courses on various topics like marketing, sales, advertising, agency, affiliate marketing, freelancing and many more ;
3.1.2. Online live mentorship sessions via Zoom/ any video conference platform for a duration of 1 year;
3.1.3. Online Group coaching/group mentoring sessions conducted online via Zoom/ any video conference platform;
3.1.4. Quarterly virtual or offline in-person events held once every 3 months.
4. Use of Website Information
4.1. Users, visitors, viewers, subscribers, members, affiliates, or customers without an express written contract are prohibited from commercial or public utilization of the information. This includes broadcasting, copying, saving, printing, selling, or publishing any part of this website's content.
4.2. By accessing this website, users agree to these terms and acknowledge that unauthorized use is unlawful, potentially resulting in civil or criminal penalties.
5. User Accounts and Registration
5.1. In order to enroll in a course/programs and to apply for a Program, you will need to register for a personal account (“User Account”) by providing personal information, an email address and a password that is unique.
5.2. You agree and represent to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5.3. Upon purchasing a course or program and after successful completion of your payment for the Course or Program; You shall be further subject to a mentorship agreement in this behalf along with the access to the Program. The invoice for your purchase shall be provided to you along with the email confirmation.
5.4. Owing to certain exceptional circumstances, if Digital Samrat has granted you access to a Program pending payment, and Digital Samrat does not receive payments within the stipulated time period, Digital Samrat may, at its own discretion, withdraw your access to the Program or cancel your access without giving any prior notice.
5.5. You agree that you will never divulge or share access to your User Account with any third party for any reason. You also agree that you will create, use and/or access only one User Account, and that you will not use any User Account other than your own.
5.7. Access to the Programs/Courses is restricted to attendees or users who have specifically been granted access by Digital Samrat for that particular course or program.
6. Education Partners and Affiliates
6.2. “Affiliates” wherein mentioned in these Terms shall mean any Websites, Apps or Digital Platforms involved in promoting the mentorship programs/training courses of Digital Samrat through their engagement with Digital Samrat.
6.3. When you purchase a course/programs through Affiliate’s website, app or its digital platform, you shall be subject to governed by the Affiliate based on its own policies and procedures. Digital Samrat will not have any authority or responsibility with respect to your use of website, app, or digital platform of Affiliates.
6.4. Affiliates are the only digital platforms for the promotion of Digital Samrat courses or programs. They are nowhere responsible to govern the content of the courses/programs. Digital Samrat’s courses/programs are unique kind courses/programs and the training imparted through these courses/ programs are based on the tutor’s personal experience achieved over the years.
7. Intellectual Property Rights
7.2. Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
7.3. Without limiting the generality of the terms above, the following are types of uses that Digital Samrat expressly defines as falling outside of the definition of "non-commercial and personal use":
7.3.1. the sale or rental of (i) any part of the Digital Samrat Content, (ii) any derivative works based at least in part on the Digital Samrat Content, or (iii) any collective work that includes any part of the Digital Samrat Content;
7.3.2. the sale of access or a link to any part of the Digital Samrat Content;
7.3.3. providing training, support, or editorial services that use or reference the Digital Samrat Content in exchange for a fee;
7.3.4. the use of Digital Samrat Content by a college, university, school, or other educational institution for instruction where tuition is charged;
7.3.5. the use of Digital Samrat Content by a for-profit corporation or non-profit entity for internal professional development or training; and
7.3.6. the use of Digital Samrat Content for display / upload / making available at a place that is accessible to the general public in any manner, including but not limited to any social media sites, video download sites, and torrents.
7.4. Digital Samrat respects third-party intellectual property rights and actively supports protection of all third-party intellectual property including copyrights and trademarks (“IP”). It is our policy to expeditiously respond to clear notices of alleged IP infringement. If we receive proper notification of IP infringement, our response to such notices will include removing or disabling access to material claimed to be the subject of infringing activity.
7.5. Digital Samrat shall not be held liable for the unauthorized use of any third-party IP, and the user that carries out such unauthorized use or infringes any IP available on the Platform shall fully indemnify and hold Digital Samrat harmless against any and all claims that may arise as a result of such use.
7.6. If you believe that your product or other work has been misrepresented or used in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide us with the following information:
7.6.1. a description of the product, work or other intellectual property that you claim has been misrepresented or infringed;
7.6.2. a description of where the material that you claim is misrepresenting or infringing your product, work or other intellectual property is located on the Platform/Program;
7.6.3. your address, telephone number, and email address;
7.6.4. a statement by you that you have a good faith belief that the disputed use is not authorized by the owner of the product, work, copyright or intellectual property, or its agent, or applicable law; and
7.6.5. a statement by you, made under the penalty of perjury, that the aforementioned information in your notice is accurate and that you are the product, work, copyright or intellectual property owner or authorized to act on such owner's behalf.

8. User Conduct and Prohibited Activities
8.1. Whether You have enrolled in a Program/Course or are simply browsing the Platform, you hereby agree to fully comply with all applicable laws and to not resort to any unethical practices while using the Platform.
8.2. Without limitation, you will not post or transmit, or cause to be posted or transmitted, any communication or solicitation or other "phishing", "pharming" or "whaling" message designed or intended to obtain password, account, personal information, financial information, confidential information or private information from any user of the Platform or any other third party whatsoever. However, if any such event does take place, Digital Samrat shall not be liable for any loss of data or if the user’s device, computer system or any other property is compromised in any manner.
8.3. You acknowledge and agree that Digital Samrat has the right to report any and all such suspicious or illegal activity to the appropriate legal authorities without notice to you.
8.4. The Users herein expressly agree that:
8.4.1. Unauthorized hyperlinks to this site or its materials are prohibited without explicit permission.
8.4.2. Use of the website's URL in commercial or non-commercial media without consent is forbidden.
8.4.3. Framing or embedding this site within another site is not allowed.
8.4.4. Users agree to cooperate in removing any unauthorized linking activities and are liable for resulting damages.
8.5. You further expressly agree to the terms of the “Mentorship Agreement” applicable upon you immediately post-enrolment into a Program/Course.
9. Platform Security
9.1. You are prohibited from violating or attempting to violate the security of the Platform or any other associate Platform of Digital Samrat, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account that the user is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Platform, overloading, "flooding," "spamming," "mailbombing" or "crashing;" or (d) sending unsolicited emails, including promotions and/or advertising of products or services. Violations of system or network security may result in civil or criminal liability.
10. Fees & Payments
10.1. We accept payments through every acceptable legal medium e.g. Debit Card, Credit Card, UPI etc. and through third party’s payment gateways. By using the services, you also accept the third-party terms and conditions mentioned on their individual sites.
10.2. You may be required to pay for purchasing to access our courses/programs/services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing account for purchases made via the Site. GST and other applicable taxes will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in INR.
10.3. You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.
10.4. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Site.
10.5. Unless otherwise expressly agreed in writing by Digital Samrat, full payment for participation in a Program/Course/services is required at the time of registration.
10.6. It is the sole responsibility of the user enrolling into a Program/services/courses to check the accuracy of, and evaluate the suitability and relevance of, the Program elected. The enrolment into a Program/services/courses is non-transferable.
10.7. Digital Samrat does not store any of your credit card information or such other information for processing payment and has partnered with payment gateways for the payment towards the services.
11.1. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.
12. Site Management
14. Term and Termination
14.2. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
15. Modifications and Interruptions
15.1. You understand that the materials appearing on the platform may include technical, typographical, or photographic errors. The platform does not warrant that any of the materials on its web site are accurate, complete, or current. The owners may make changes to the materials contained on its website at any time without notice. The platform does not, however, make any commitment to update the materials.
15.2. We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.
16. Governing Law
16.1. These Terms shall be governed by and defined following the laws of India. Digital Samrat and yourself irrevocably consent that the courts of India at Mumbai shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
17. Dispute Resolution
17.2. Binding Arbitration: Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the Arbitrator following the procedure mentioned in the Arbitration and Conciliation Act, 1996. The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be Mumbai, India. The language to be used in the arbitral proceedings shall be English. The governing law of the contract shall be the substantive law of India.
17.3. Restrictions: The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
17.4. Exceptions to Informal Negotiations and Arbitration: The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
18. Income Disclaimer
18.1. While our diligent efforts have been made to create comprehensive resources encompassing essential lessons, tools, and practice materials with the aim of facilitating success for students/mentees upon completion of the course, it is important to note that a categorical assurance cannot be provided regarding the guaranteed success of all students/mentees in marketing themselves or promptly securing high-ticket clients.
18.2. Our services and courses explicitly disclaim any assurance of securing employment upon the culmination of the course or program. Users enrolled in Digital Samrat offered courses/programs expressly understand and acknowledge that completion of the course does not guarantee success or income. All enrolled students affirmatively recognize and agree that any information disseminated through our websites, funnels, webinars, one-on-one meetings, or any content within our curriculum does not constitute a promise or guarantee of results or future earnings. Furthermore, we do not provide legal, medical, tax, or other professional advice.
18.3. We explicitly disclaim any guarantee regarding your ability to achieve results or generate earnings using our ideas, information, tools, or strategies. Any financial figures mentioned on our platforms are purely illustrative and should not be construed as indicative of average or precise earnings, nor as promises of actual or future performance.
18.4. It is advised to exercise caution and seek professional advice from your accountant, lawyer, or other qualified advisors before taking any action based on the information provided, especially concerning lifestyle changes, business decisions, or financial matters. You, as the registrant, assume sole responsibility and accountability for your decisions, actions, and outcomes in life. By registering, you expressly agree not to hold Digital Samrat liable for any consequences resulting from your decisions, actions, or outcomes, under any circumstance.
18.5. Moreover, prior to enrolling in the course, students explicitly acknowledge that any success or income is contingent upon their own comprehension and application of the material, content, and methodologies delineated in the training program.
19. Cancellation and Refund Policy
19.1. The terms related to Cancellation and Refund of any products/services shall be governed by the “Cancellation and Refund Policy” available at [Link of the Cancellation and Refund Policy].
20.1. In no event will we or our family members, directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages.
20.2. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

21.2. Digital Samrat may change the Fees for the courses and programs from time-to-time. We will provide you with 30 days’ advance notice prior to any changes in Fees by sending an email to the Primary Email Account, providing notice through the Digital Samrat administrative console, or by similar means. Digital Samrat will not be liable to you or to any Independent Partner for any modification, price change, suspension or discontinuance of the Services (or any part thereof).
22.2. The data collected is governed by the Information Technology Act, 2000, all the amendments thereto as well as all the relevant legislations and statutes.
